2. Eligibility and Accounts
You must be at least 18 years old, or the age of legal majority where you live if that is higher, to create an Account, make purchases, or use the Service. The Service is not directed to anyone under 18, and we do not knowingly collect personal information from anyone under 18. If we learn that an Account belongs to someone under 18, we may close it.
If you use the Service or purchase Courses on behalf of a company or other organization, you confirm that you have authority to bind that organization to these Terms, and "you" includes that organization.
You agree to provide accurate and current information when you register and to keep it up to date. You are responsible for keeping the email address on your Account current. Notices we send to that address, including notices about Course retirement or shutdown of the Service, are effective when sent, whether or not you read them. You are responsible for keeping your password confidential and for all activity that occurs under your Account. Notify us immediately at mcc@ciraltos.com if you believe your Account has been accessed without your permission.
Each Account is for one individual person. You may not share your login credentials or allow anyone else to access your Account or your purchased Courses.

3. Courses, Pricing, and Payment
Courses are sold individually on a one-time, per-course basis unless a Course page clearly states otherwise. We do not offer subscriptions, and your purchase will not automatically renew.
All prices are shown in U.S. dollars unless otherwise stated at checkout. You are responsible for any applicable sales, use, value added, or similar taxes, which may be added at checkout where required by law.
Payments are processed by our third-party payment processor, Stripe. We do not store your full payment card details. By providing a payment method, you authorize us and Stripe to charge the total amount shown at checkout, and your payment information is subject to Stripe's own terms and privacy policy.
When your payment is successfully processed, you will receive an order confirmation email and immediate access to the purchased Course. This confirmation forms the contract between you and us for that purchase.
We may change Course prices at any time. Price changes do not affect Courses you have already purchased. We may offer discounts, coupons, or promotional pricing at our discretion. Coupons have no cash value, cannot be combined unless stated, and may be withdrawn at any time.
We try to display accurate prices and descriptions. If a Course is listed at an incorrect price because of an obvious error, we may cancel the order and refund any amount paid, even after you receive a confirmation email.

4. Refund Policy
We want you to be satisfied with your purchase. The refund terms in this section apply to on-demand Courses. Refunds for Live Courses are covered in Section 6. You may request a full refund of an on-demand Course within 14 days of the purchase date, provided you have completed less than 25% of the Course. To request a refund, email mcc@ciraltos.com with your order details.
Approved refunds are issued to your original payment method, typically within 5 to 10 business days depending on your bank.
Refund abuse. Refunds are intended for learners who find that a Course is not the right fit, not as a way to access Course Content for free. All refund decisions under these Terms, including refunds for Live Courses, are made at our sole discretion, and meeting the eligibility requirements above does not guarantee a refund. We may deny a refund request, limit your ability to make future purchases, or suspend or close your Account if we determine, at our sole discretion, that refund activity is abusive or fraudulent. Examples include, but are not limited to:
If you are a consumer located in the European Union or the United Kingdom, you have a statutory right to withdraw from a purchase of digital content within 14 days. By requesting immediate access to a Course at checkout, you expressly consent to the Course being made available right away and acknowledge that you lose that statutory withdrawal right once access begins. This does not affect our voluntary refund policy above or any other rights you have under mandatory consumer protection laws.

- Downloading, copying, or recording a substantial portion of Course Content before requesting a refund.
- Earning a certificate of completion for the Course, sharing your Account, or otherwise violating these Terms.
- Using multiple Accounts or payment methods to obtain refunds.

If you file a chargeback or payment dispute instead of contacting us first, we may suspend your Account and access to Courses while the dispute is reviewed.
5. Access to Purchased Courses
Your purchase gives you access to the Course while the Course remains available on the Service, the Service remains in operation, and your Account is in good standing. Course purchases do not include lifetime access or access for any guaranteed period.
Cloud technology changes frequently, so we may update, reorganize, re-record, or replace Course Content at any time to keep it current. We may also retire an individual Course. If we retire a Course you purchased, we will notify you by email at the email address associated with your Account. You will continue to have access to the retired Course for 90 days from the date of that notice, after which your access to that Course will end. We will also give you access to a comparable Course on the same topic or subject matter and in the same delivery format (for example, pre-recorded or live) as the retired Course, if one is available. Retirement of a Course does not entitle you to a refund.
Shutdown of the Service. If we decide to permanently shut down the Service, we will notify you by email at the email address associated with your Account. You will continue to have access to your purchased Courses for 180 days from the date of that notice (the "Wind-Down Period"). At the end of the Wind-Down Period, the Service will be shut down and all access to Courses and Accounts will end. You should download any materials we make available for download, and any certificates of completion you wish to keep, before the Wind-Down Period ends. The end of access at the close of the Wind-Down Period does not entitle you to a refund.
We may offer support for Course questions through a discussion area, email, or other channels at our discretion. We do not guarantee a specific response time, and we do not provide technical support for your own production environments.

- You are solely responsible for any charges incurred in your own cloud subscriptions or accounts while following a Course, including compute, storage, networking, licensing, and any resources you forget to stop or delete. We recommend using a dedicated test or trial subscription, setting budgets and cost alerts, and removing lab resources when you are finished.

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Ciraltos LLC and its owners, employees, contractors, and agents from any third-party claims, losses, liabilities, and expenses, including reasonable attorneys' fees, arising from your misuse of the Service, your User Content, your violation of these Terms, or your violation of any law or the rights of any third party.
22. Governing Law, Arbitration, and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU AND US TO RESOLVE MOST DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION INSTEAD OF IN COURT, AND IT WAIVES YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION. YOU MAY OPT OUT AS DESCRIBED BELOW.
Governing law. These Terms are governed by the laws of the State of Minnesota, United States, without regard to its conflict of law rules, and, for this arbitration agreement, by the U.S. Federal Arbitration Act.
Informal resolution first. Before starting arbitration or any other proceeding, you and we each agree to first send the other a written description of the dispute and try to resolve it informally for at least 30 days. Notices to us must be sent to mcc@ciraltos.com. Notices to you will be sent to the email address associated with your Account.
Binding arbitration. If a dispute is not resolved informally, any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or any Course (a "Dispute") will be resolved by final and binding arbitration on an individual basis. The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, or its Commercial Arbitration Rules if you purchased on behalf of a business, and will be decided by a single arbitrator. Unless you and we agree otherwise, the arbitration will be conducted by video conference or, for claims of $10,000 or less, on written submissions only. Any in-person hearing will take place in Hennepin County, Minnesota, or, if you are an individual consumer, in the county where you live. Filing and arbitrator fees will be paid as required by the applicable AAA rules. The arbitrator may award the same individual relief that a court could award, and judgment on the award may be entered in any court with jurisdiction.
Exceptions. Either party may bring an individual claim in small claims court if it qualifies. Either party may also seek an injunction or other equitable relief in court to stop the actual or threatened infringement or misuse of its intellectual property, including unauthorized sharing or redistribution of Course Content.

Class action and jury trial waiver. YOU AND WE EACH AGREE THAT DISPUTES WILL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate the claims of more than one person or preside over any form of class or representative proceeding. YOU AND WE EACH WAIVE ANY RIGHT TO A JURY TRIAL.
Opting out. You may opt out of this arbitration agreement by emailing mcc@ciraltos.com within 30 days after you first accept these Terms, with the subject line "Arbitration Opt-Out" and your name and the email address associated with your Account. Opting out does not affect any other part of these Terms.
Court proceedings. If you opt out, if a Dispute is not subject to arbitration, or if this arbitration agreement is found not to apply, the Dispute must be brought exclusively in the state or federal courts located in Hennepin County, Minnesota, and you and we consent to the jurisdiction of those courts. If the class action waiver is found unenforceable for any claim, that claim must proceed in court and not in arbitration, and the remainder of this arbitration agreement will still apply.
Changes and survival. If we make a material change to this arbitration agreement, the change will not apply to any Dispute of which either party had already given notice. This section survives termination of your Account and these Terms.
Consumers outside the United States. If you are a consumer living outside the United States, this arbitration agreement and class action waiver apply only to the extent permitted by the laws of your country of residence. You may also have the benefit of mandatory consumer protection laws and courts in your country of residence, and nothing in these Terms takes away those rights.

23. Export Controls and Sanctions
You may not access or use the Service if you are located in, or are a resident of, a country or region subject to comprehensive U.S. sanctions, or if you are on any U.S. government list of prohibited or restricted parties. You agree to comply with all applicable export control and sanctions laws.
24. Changes to the Service and These Terms
We may modify, suspend, or discontinue any part of the Service at any time. A permanent shutdown of the entire Service will follow the notice and Wind-Down Period described in Section 5. We may also update these Terms from time to time. When we make material changes, we will update the Effective Date above and, where appropriate, notify you by email or through the Service at least 30 days before the changes take effect. Changes will not apply retroactively to purchases completed before the change. Your continued use of the Service after changes take effect means you accept the updated Terms.
25. General Terms
- Entire agreement. These Terms, together with our Privacy Policy and any terms shown on a Course page or at checkout, are the entire agreement between you and us about the Service and replace any prior versions.
- Assignment. You may not assign or transfer these Terms or your access to any Course. We may assign these Terms in connection with a merger, acquisition, or sale of our business or assets.
- Severability. If any provision is found unenforceable, it will be enforced to the maximum extent possible, and the remaining provisions will remain in effect.
- No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control, including outages of cloud or platform providers, internet failures, natural disasters, or government action.
- No third-party beneficiaries. These Terms do not give any rights to any third party.
- Relationship. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.
- Headings. Section headings are for convenience only, and "including" means "including without limitation."
